Terms of Service.

These Terms of Service (“Terms”) govern your access to and use of YUBI.ai (“YUBI,” the “Service”), a real-time video identity and presence verification platform operated by Unnat Bak LLC, a Wyoming limited liability company (“Unnat Bak LLC,” “we,” “us,” or “our”). YUBI is one of several independent products owned and operated by Unnat Bak LLC. By accessing, requesting access to, or using YUBI, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility & Access

YUBI is currently offered in limited availability to approved partners. Access requires a successful request via our contact form and, where applicable, execution of a separate partner or commercial agreement. You must be at least 18 years old and authorized to bind the entity on whose behalf you use the Service.

2. The Service

YUBI streams webcam frames to AI models to perform live identity verification, behavioral and micro-expression analysis, and session-level scoring. Outputs include structured verification results, observation logs, trust scores, and signed session manifests (SHA-256). The Service is provided as an evolving beta; features, models, pricing, and availability may change without notice.

3. Acceptable Use

Access to YUBI is a personal, revocable privilege granted to approved users only. Without limiting Section 6 (Intellectual Property & Restrictions), you agree not to:

  • Use YUBI to violate any law, regulation, or third-party right.
  • Submit images, identity documents, or biometric data of any individual without their informed consent and any required regulatory authorization (including under BIPA, GDPR, CCPA/CPRA, and similar laws).
  • Attempt to spoof, deceive, reverse engineer, or circumvent the Service’s verification logic or signed manifests.
  • Use YUBI as the sole basis for decisions with legal or similarly significant effects on individuals. You must conduct your own independent, final human verification before relying on any Service output.
  • Resell, white-label, or sublicense the Service except as expressly permitted by a written agreement with Unnat Bak LLC.

4. Customer Data & Privacy

You are responsible for the lawfulness of all video, image, identity document, and personal data submitted to the Service (“Customer Data”), and for providing all required notices and obtaining all required consents from end users. Our handling of personal data is described in our Privacy Policy. You grant Unnat Bak LLC a limited, worldwide license to process Customer Data solely to operate, secure, and improve the Service.

5. AI Outputs & No Guarantees

YUBI uses probabilistic AI models. Verification results, trust scores, and behavioral signals are estimates, not guarantees of identity, truthfulness, intent, liveness, document authenticity, or fitness for any purpose. AI models hallucinate, misclassify, and produce false positives and false negatives. You acknowledge and agree that:

  • You are solely responsible for performing your own final, independent verification of any individual, document, or claim before taking any action.
  • Unnat Bak LLC does not verify, authenticate, or vouch for any person or document. YUBI is a software tool that surfaces signals; it is not a certifying authority, KYC provider, background-check provider, or notary.
  • Any reliance on Service outputs is at your sole risk, and you assume all consequences of acting (or failing to act) on those outputs, including any fraud loss, regulatory exposure, misidentification, or harm to third parties.
  • We make no representation that the Service will detect any particular spoof, deepfake, forged document, impersonation, or fraudulent behavior.

6. Intellectual Property & Restrictions

The Service — including the YUBI and YUBI.ai names, logos, and trade dress; the YUBI.ai v1.0 model branding; all software, source and object code, model orchestration logic, prompt engineering, model-routing and mixture-of-experts chains, goal-based verification engine, behavioral and micro-expression analysis pipelines, scoring algorithms, signed-manifest scheme, user interface, visual design, copy, documentation, schemas, and any related know-how, trade secrets, and confidential information (collectively, the “YUBI IP”) — is and remains the exclusive property of Unnat Bak LLC. No title or ownership is transferred to you under these Terms.

Subject to your continuous compliance with these Terms, Unnat Bak LLC grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for its intended, lawful purpose. All rights not expressly granted are reserved.

You will not, and will not permit, assist, encourage, or enable any third party (including employees, contractors, affiliates, vendors, or AI agents acting on your behalf) to:

  • Copy, clone, mirror, reproduce, recreate, port, fork, or otherwise build, develop, design, or operate any product, service, model, dataset, prompt set, UI, or feature that is substantially similar to, derived from, competitive with, or designed to replicate the look, feel, behavior, workflow, or output of the Service.
  • Reverse engineer, decompile, disassemble, decrypt, scrape, extract, observe, benchmark, probe, fingerprint, or otherwise attempt to discover or derive the source code, model weights, prompts, system instructions, model identities, routing logic, training data, architecture, heuristics, thresholds, or internal scoring of the Service, in whole or in part, by any means (including via prompt injection, model extraction, distillation, automated agents, or third-party AI tools).
  • Use the Service, its outputs, logs, manifests, or any data obtained from it to train, fine-tune, evaluate, benchmark, or develop any AI model, dataset, classifier, or competing product or service.
  • Remove, alter, obscure, or replace any proprietary notices, branding, watermarks, manifest signatures, or attribution from the Service or its outputs.
  • Circumvent, disable, or attempt to circumvent any authentication, access control, approval workflow, rate limit, usage cap, billing mechanism, or technical protection measure, or share, transfer, sell, or lend your access credentials or approved-user status to any third party.
  • Use the Service, or knowledge gained from access to it (including UX patterns, taxonomy, naming, signal categories, or workflow design), to assist any competitor or to design, build, market, or fund any competing offering, whether directly or indirectly, during your access and for a period of twenty-four (24) months following termination of access.
  • Publicly disclose, publish, blog, post, present, or share benchmarks, evaluations, screenshots, recordings, source materials, prompts, or model behavior of the Service without Unnat Bak LLC’s prior written consent.
  • File, prosecute, or support any patent, trademark, copyright, or other IP application claiming or covering any element of the YUBI IP or any derivative thereof.

Any feedback, suggestions, or ideas you provide regarding the Service are assigned to Unnat Bak LLC and may be used by us for any purpose without restriction or compensation. You agree that the YUBI IP constitutes valuable trade secrets and confidential information, that monetary damages may be inadequate to remedy any breach of this Section, and that Unnat Bak LLC shall be entitled to seek injunctive and other equitable relief, without the requirement of posting bond, in addition to any other remedies available at law or in equity.

7. Fees

During limited availability, access may be provided free of charge or under a separate partner agreement. Commercial pricing, including any per-session, per-minute, or token-based fees, will be set out in an order form or commercial agreement and may change with notice.

8. Disclaimers

The Service is provided “as is” and “as available,” with all faults and without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, reliability, security, availability, or that the Service will detect any specific fraud, spoof, deepfake, forged document, or impersonation. Unnat Bak LLC does not warrant any outcome, identification, or verification produced by the Service. You assume all risk arising from your use of, or reliance on, the Service and its outputs.

9. Limitation of Liability

To the maximum extent permitted by law, Unnat Bak LLC and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, goodwill, business opportunity, fraud loss, regulatory penalty, third-party claim, reputational harm, or harm arising from any decision made (or not made) in reliance on the Service or its outputs, even if advised of the possibility of such damages and regardless of the theory of liability. Without limiting the foregoing, Unnat Bak LLC shall have no liability for any false positive, false negative, missed spoof, missed deepfake, missed forged document, misidentification, hallucinated output, or other AI error. Our aggregate liability for any and all claims arising out of or related to the Service shall not exceed the greater of (a) the amounts paid by you to Unnat Bak LLC for the Service in the three (3) months preceding the event giving rise to liability, or (b) one hundred US dollars (US $100). You acknowledge that these limitations are an essential basis of the bargain and would not be provided without them.

10. Indemnification

You will defend, indemnify, and hold harmless Unnat Bak LLC and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, liabilities, losses, fines, penalties, and expenses (including reasonable attorneys’ fees and costs) arising out of or related to (i) your access to or use of the Service; (ii) any Customer Data or end-user interaction; (iii) any decision, action, or omission by you or any third party in reliance on Service outputs; (iv) your breach of these Terms, including any breach of Section 6 (Intellectual Property & Restrictions); or (v) your violation of applicable law or any third-party right.

11. Suspension & Termination

We may suspend or terminate access to the Service at any time, with or without cause or notice, including if we believe your use poses a security, legal, or reputational risk. You may stop using the Service at any time. Sections that by their nature should survive termination will survive.

12. Governing Law & Disputes

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles. The exclusive venue for any dispute arising out of or related to these Terms or the Service shall be the state or federal courts located in Wyoming, and you consent to personal jurisdiction there. The parties waive any right to a jury trial. Class actions and representative proceedings are not permitted.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the “Effective” date above and, where appropriate, by additional notice. Continued use of the Service after changes become effective constitutes acceptance.
